Job Title: Interim Derivatives Lawyer

Location: London, UK

Job Type: Contract, hybrid role requiring 2-3 days in the office.

Duration: up to 6 months

About the Role:

We are seeking an experienced Interim Derivatives Lawyer to join the dynamic team at an Investment Bank. The successful candidate will be responsible for managing and executing complex transaction documents and workstreams. This role requires a senior contractor with a strong background in derivatives law and experience working in an investment banking environment.

Key Responsibilities:

  • Transaction Documents: Manage and execute transaction documents
  • Sale and Purchase Agreement: Draft and finalize agreements for the sale and purchase of assets or shares.
  • Bespoke Participation Agreement/Declaration of Trust: Create customized agreements or declarations of trust to outline participation terms.
  • Bespoke Guarantee with Tri-Party Collateral Structure: Draft tailored guarantees that include tri-party collateral arrangements.
  • Complex Insolvency Opinion on the Declaration of Trust: Provide detailed legal opinions on the insolvency implications of the declaration of trust.
  • Insurance Re-Characterisation Memo: Prepare memos to re-characterize insurance aspects related to transactions.

Qualifications:

  • Qualified lawyer with a strong background in derivatives law.
  • Extensive experience in drafting and managing complex transaction documents.
  • Proven track record of working in an investment banking environment.
  • Excellent analytical and problem-solving skills.
  • Strong communication and interpersonal skills.

This role would be paid on a daily rate basis (Inside IR35).
